SIMPLE AGREEMENT FOR FUTURE EQUITY (SAFE)

Direct Investor Subscription Agreement

1. PARTIES

This Simple Agreement for Future Equity (“Agreement”) is entered into as of the date of execution by and between:

2. INVESTMENT AMOUNT

The Investor agrees to invest:

Payment will be completed via the Company’s authorized payment platform following execution of this Agreement.

3. NATURE OF AGREEMENT

This Agreement is a Simple Agreement for Future Equity (SAFE).

This is not a loan.
This Agreement does not bear interest and has no maturity date.

4. VALUATION CAP

The valuation cap for this SAFE is:

$1,000,000 (One Million Dollars)

5. CONVERSION EVENTS

This SAFE will convert into equity upon:

a. Equity Financing Event
Conversion at the lower of:

• The valuation cap, or
• The price offered in the financing round

b. Liquidity Event
Investor receives:

• Their investment amount, or
• The value of converted equity
  (whichever is greater)

6. NO GUARANTEED RETURNS

The Investor acknowledges:

• This is a speculative investment
• There are no guaranteed returns
• The Company is an early-stage business
• Loss of investment is possible

7. USE OF FUNDS

Funds may be used for:

• Production and manufacturing
• Inventory and distribution
• Marketing and brand growth
• General operations

8. INVESTOR REPRESENTATIONS

The Investor confirms:

• They understand the risks
• They are investing voluntarily
• They can financially sustain loss

9. NON-TRANSFERABILITY

This Agreement may not be transferred without Company approval.

10. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Ohio.
